Matanzas Bookkeeping API — End-User License Agreement

This End-User License Agreement (“Agreement”) governs use of the “Matanzas Bookkeeping API” application (“the App”), an internal software application operated by Matanzas Bookkeeping LLC (“Matanzas,” “we,” “us”) in the course of providing bookkeeping services.

1. Internal Use Only

The App is internal-use software developed and operated by Matanzas Bookkeeping LLC solely for the purpose of supporting the firm’s bookkeeping operations. The App is not distributed to, licensed to, sold to, or otherwise made available for use by clients, prospects, or any other third party. Clients and third parties have no right to install, copy, access, or operate the App.

2. Authorized User

The sole authorized user of the App is the firm principal of Matanzas Bookkeeping LLC. No license, sublicense, or right of use is granted to any other individual or entity.

3. Connections to QuickBooks Online

The App connects to QuickBooks Online (a service of Intuit Inc.) on behalf of Matanzas Bookkeeping LLC, including the firm’s own books and the books of clients who have engaged Matanzas under a signed engagement letter. All connections are authorized through Intuit’s OAuth 2.0 flow and are limited to a read-only scope of the QuickBooks Online Accounting API. Use of QuickBooks Online data is governed by our Privacy Policy and by the applicable engagement letter with each client.

4. No Warranty

The App is operated as an internal tool of Matanzas Bookkeeping LLC. No warranty, express or implied, is offered to any party regarding the App. The App is not a product offered to clients, and nothing in this Agreement creates any service-level commitment, support obligation, or right of action with respect to the App’s availability, accuracy, or fitness for any purpose other than its internal use by Matanzas.

5. Limitation of Liability

To the maximum extent permitted by applicable law, Matanzas Bookkeeping LLC shall not be liable to any third party for any direct, indirect, incidental, consequential, or special damages arising from the operation or non-operation of the App. Bookkeeping services provided by Matanzas to clients are governed exclusively by the applicable engagement letter, and not by this Agreement.

6. Modifications

Matanzas Bookkeeping LLC may modify, suspend, or discontinue the App at any time and without notice. Because the App is internal-use software, no notice or transition period is owed to any third party.
